# Terms of Service

> The agreement for using PostMesh: accounts, connected networks, publishing, AI, the API and MCP server, billing, offers, refunds and disputes.

Effective 2026-11-01.

These Terms of Service (the “Terms”) are a binding agreement between you and the company that makes PostMesh (“we”, “us”, or “our”; see [Who we are](https://postmesh.app/legal/terms#who-we-are)). They cover your use of postmesh.app, the PostMesh app, our emails, public API and MCP server, AI features, free tools, and every other product or service we offer under the PostMesh name (together, the “Services”).

By creating an account, starting a trial, buying a subscription, connecting a social account, or otherwise using the Services, you agree to these Terms and to the policies they refer to, including our [Privacy Policy](https://postmesh.app/legal/privacy). If you don’t agree, don’t use the Services.

**[Section 23](https://postmesh.app/legal/terms#disputes) requires most disputes between you and us to be resolved by binding individual arbitration, not in court, and waives class actions and jury trials.** It also explains how to opt out within 30 days. If you’re a consumer in the EU, the UK, or Switzerland, the arbitration terms don’t apply to you.

## 1. About these Terms

**What PostMesh is.** PostMesh is a publishing workspace. You connect social accounts you own or manage, write posts once, and publish or schedule them to the networks you choose, then follow their history and performance in one place. Every network is reached through its official API.

**Other terms that apply.** These Terms include, and you also agree to:

- our [Privacy Policy](https://postmesh.app/legal/privacy), which explains how we handle personal data;
- our [Data deletion](https://postmesh.app/legal/data-deletion) page, which explains how to remove your data;
- the details shown when you buy a plan (price, billing interval, trial, discount, and renewal terms at checkout), which form part of your order; and
- the terms of each social network you connect, described in [Network terms](https://postmesh.app/legal/terms#networks).

If those terms conflict with these Terms, the more specific terms win for that feature or order.

**Using PostMesh for a company.** If you use the Services on behalf of a company, agency, or other organization, you confirm that you have the authority to accept these Terms for it, and “you” includes that organization.

**Headings.** Headings are there to help you read and are not legally binding. “Including” means “including without limitation”.

## 2. Eligibility and your account

**Who can use PostMesh.** You must be at least 18 years old, or the age of majority where you live if that’s older, and able to form a binding contract. The Services aren’t directed to children, and we’ll close accounts we learn belong to someone under 18. You can’t use the Services if we’ve banned you from them before.

**Sanctions and export rules.** You can’t use the Services if you are located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive sanctions, currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine, or if you are, or act for, a person or entity on a U.S., UK, EU, or UN sanctions or restricted-party list. Paid services aren’t offered to people or entities in Russia or Belarus.

You’re responsible for following the laws that apply to you where you use the Services, including export control and sanctions laws and the rules on advertising and endorsements where your posts are seen.

**Your account.** You can sign up with an email address and password (we email you a code to confirm the address) or with Google, and you can add a passkey to sign in. Keep your account details accurate. Each account is for one person; you can’t sell or transfer your account without our written permission.

**Keeping it secure.** Keep your login, passkeys, and API keys secure and don’t share them. You’re responsible for everything that happens under your account, including actions taken with your API keys, by MCP clients you connect, and by people you let use your account. Tell us right away at hello@postmesh.app if you think someone has accessed your account without permission.

## 3. Connecting social accounts

**Only accounts you control.** Connect only social accounts, Pages, channels, and profiles you own or are authorized to manage. If you manage accounts for clients or an employer, you confirm they’ve allowed you to publish for them through PostMesh.

**Connecting through a network’s sign-in.** For X, LinkedIn, TikTok, Instagram, Facebook Pages, Threads, Reddit, and YouTube, you connect on the network’s own sign-in screen. That authorizes PostMesh to use the network’s official API, with the permissions shown on that screen, to identify the account, publish and schedule the posts you tell it to, and read the performance figures the network makes available for posts published through PostMesh. We never ask for or store your social network passwords.

**Networks decide access.** Each network can limit, change, or revoke access, require reconnection, change its website, or suspend accounts on its own terms. Some features depend on a network’s review of our app. We can’t guarantee that any network stays available through PostMesh.

## 4. Publishing, scheduling, and analytics

**You decide what is published.** PostMesh publishes or schedules a post only when you tell it to: by choosing Publish or Schedule in the app, by approving a post the AI agent proposes, or by sending a publish or schedule request with your API key, including from an MCP client you connected. **Requests sent with your API key or through an MCP client run straight away, without a second confirmation in PostMesh.** Review what those apps send on your behalf.

Connecting an account is not, by itself, permission to publish.

**Scheduling.** A scheduled post waits in a queue that we check every minute. Network processing and queue volume can add delay, so a scheduled time is not a guarantee of an exact publication time.

**Failures and history.** Publishing depends on each network’s availability, your permissions, media rules, website changes, and API limits, so a post can fail or be changed or removed by the network. History shows what happened. If an outcome is uncertain, check the network before retrying, or you may publish twice. Removing a history entry in PostMesh does not remove the post from the network.

**Analytics.** Performance figures come from each network and can be delayed, incomplete, unavailable, or later revised by the network. **Where a network doesn’t give PostMesh a view count, Analytics shows views as not reported, with the reason, and gives no engagement rate for those posts. PostMesh never estimates a count.**

PostMesh doesn’t hold the permissions TikTok and LinkedIn require for post metrics. Don’t rely on any figure as an exact count.

## 5. Network terms

When you connect or publish to a network, you must also follow that network’s own terms:

- **YouTube:** by connecting a YouTube channel, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). YouTube data is handled under the Google Privacy Policy (https://policies.google.com/privacy).
- **X:** X’s Terms of Service, Privacy Policy, Rules, Developer Policy, and Automation Rules.
- **LinkedIn:** LinkedIn’s User Agreement, Privacy Policy, and API Terms of Use.
- **TikTok:** TikTok’s Terms of Service, Privacy Policy, Community Guidelines, Music Usage Confirmation, Branded Content Policy when it applies, and TikTok Developer Terms.
- **Facebook, Instagram, and Threads:** Meta’s Terms of Service, Instagram’s Terms of Use, Privacy Policy, Community Standards and Guidelines, Platform Terms, and Developer Policies for each product.
- **Reddit:** Reddit’s User Agreement, Content Policy, and the rules of each community you post to.

PostMesh uses each network’s official API. Don’t use PostMesh to run spam, bulk identical posts across accounts, pay-for-engagement schemes, or other platform manipulation.

## 6. Your content

**You own your content.** Anything you write, upload, import, or generate in PostMesh, including captions, media, drafts, schedules, agent chats, Clip Factory clips, and brand-voice samples, is your “Content”. You keep ownership of it. We don’t claim ownership of your Content.

**Permission you give us.** You give us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, resizing images, transcoding video, or reformatting text for a network), and transmit your Content only as needed to provide, secure, and support the Services, including sending it to the networks and AI providers you use through PostMesh. The license ends when your Content is deleted from our systems, except for copies we must keep as described in the Privacy Policy.

**Your promises about your Content.** You confirm that you own your Content or have all the rights, licenses, and permissions needed to post it and grant this license, including rights to any music, footage, clips, images, trademarks, and the name, voice, or likeness of people shown in it, and that it doesn’t infringe anyone’s rights, break any law, or break a network’s rules. We don’t provide or hold licenses to music or other third-party material for you.

**Feedback.** If you send us ideas or suggestions about the Services, we can use them for any purpose without paying or crediting you.

## 7. Acceptable use

**Content rules.** Don’t use PostMesh to publish or store Content that:

- is illegal, or promotes or helps with illegal activity;
- infringes anyone’s copyright, trademark, privacy, publicity, or other rights;
- is false, misleading, or deceptive, including fake reviews, testimonials, or undisclosed paid endorsements;
- harasses, threatens, bullies, doxxes, or defames anyone, or attacks people based on protected characteristics;
- is sexually explicit, exploits minors in any way, or shares intimate images without consent;
- glorifies violence or self-harm;
- contains malware, phishing, or links to unsafe sites; or
- is spam, including repetitive, unsolicited, or identical posts across many accounts.

**Don’t misuse the Services.** You must not:

- impersonate any person or organization, or connect accounts you aren’t authorized to manage;
- use PostMesh to buy, sell, or fake engagement, followers, or reach, or to evade a network’s limits, bans, or restrictions;
- access the Services through automated means other than the public API and the MCP server, or scrape them;
- probe, scan, or test the security of the Services, or get around rate limits, plan limits, or access controls (please report security issues to us instead);
- interfere with or overload the Services, or upload anything that harms them or other users;
- reverse engineer the Services, except where the law expressly allows it;
- resell or sublicense access to the Services without our written permission; or
- help anyone else do any of the above.

**What we can do.** We may remove Content, cancel scheduled posts, limit features, or suspend accounts if we believe that’s needed to enforce these Terms, follow the law or a network’s requirements, or protect people or the Services. Where reasonable, we’ll tell you what we did and why.

## 8. AI features and Clip Factory

**What they do.** PostMesh includes AI features: the AI agent that drafts and edits posts and reads links you share with it, AI-written analytics insights and video suggestions, Clip Factory, which suggests and cuts short clips from YouTube videos you choose, and free AI writing tools on our website. They are powered by OpenAI, as described in the Privacy Policy.

**Check before you rely on it.** **AI output can be wrong, incomplete, out of date, or similar to output given to others.** It is not legal, financial, or other professional advice. Clip Factory’s scores and “virality” labels are written by the AI to sort its suggestions; they don’t measure or predict how a clip will perform. Review output before you publish it or act on it.

**Actions the agent takes.** The AI agent can read your workspace to help you, and it can propose a post to publish or schedule. A proposed post is published or scheduled only after you approve it in PostMesh. Scheduling clips in Clip Factory saves drafts, which aren’t published until you send them. You are responsible for the instructions you give and for what you approve.

**Your inputs and outputs.** Between you and us, you own what you type into AI features and, to the extent the law allows, the output generated for you. You’re responsible for making sure output you publish is accurate and lawful and doesn’t infringe anyone’s rights. Don’t enter passwords, sensitive personal data, or other people’s confidential information. We don’t use your Content to train AI models.

**Clip Factory and other people’s videos.** Clip Factory downloads the YouTube video you choose to our servers, reads its public captions, and cuts clips from it. **Use it only with videos you own or have the rights or permission to copy and reuse.** YouTube’s terms restrict downloading videos without permission, and clips cut from someone else’s video are still their work.

You are responsible for getting any license you need and for following YouTube’s terms and the creator’s rights. We may limit or remove Clip Factory jobs we believe infringe, and we close the accounts of repeat infringers ([Copyright complaints](https://postmesh.app/legal/terms#copyright)).

**Limits and misuse.** AI agent messages and Clip Factory videos are limited each month by your plan, and the free tools are limited per visitor. Don’t use AI features to create Content that breaks [Acceptable use](https://postmesh.app/legal/terms#acceptable-use), to bypass their safeguards, or to extract their instructions or underlying models.

## 9. API keys and MCP server

**Keys act as you.** You can create API keys in Settings to use the PostMesh API and MCP server. **A key has the same access to your workspace as you do,** including reading drafts and history, publishing, scheduling, and disconnecting accounts. We show each key once and store only a hash of it.

**Your responsibility.** Keep keys secret and send them in the Authorization header where you can. Some MCP clients can only take a key inside the server address (?api_key=…), and Settings offers that form for them; an address with a key in it can be saved in logs and in browser or app history, so treat it like the key itself. Revoke a key in Settings as soon as you no longer need it or think it’s exposed. You are responsible for every request made with your keys, including requests an AI assistant or other MCP client makes for you.

**Limits.** Requests are rate limited and count toward your plan limits. We may change, limit, or end the API or MCP server, or revoke keys, especially to protect users or the networks.

## 10. Emails and communications

You agree that we can contact you electronically, by email or in the app, and that these communications meet any legal requirement for written notice. As long as you have an account, we send service emails about sign-in and security, your trial (including a reminder about a day before it ends), billing, and failed posts. Failed-post alerts and setup tips can be turned off in Settings. If we ever send marketing emails, each will include a way to unsubscribe.

## 11. Subscriptions, trials, and billing

**Plans and prices.** PostMesh has three paid plans, each billed monthly or yearly: Creator at $29 a month or $264 a year; Growth at $49 a month or $444 a year; Pro at $99 a month or $900 a year. Each plan includes the limits shown on the [pricing page](https://postmesh.app/pricing) and at checkout, such as connected accounts, saved drafts, and monthly AI agent and Clip Factory allowances; yearly plans get 2 times the monthly AI agent and Clip Factory allowance. Features marked “coming soon”, such as workspaces and team members, aren’t part of a plan until they’re released. There is no free plan.

**Currency and taxes.** Prices are set in U.S. dollars, and checkout shows the amount and currency before you pay. If your bank converts the charge into another currency, it may add its own fees. Prices don’t include taxes unless checkout shows them; you’re responsible for any taxes that apply to your purchase.

**How payment works.** We sell PostMesh subscriptions, and Stripe processes the payments for us. You enter your card details on Stripe’s checkout page and in Stripe’s billing portal; they go to Stripe and never reach or get stored on our servers. Stripe is certified to PCI DSS Level 1.

By subscribing, you confirm you’re allowed to use the payment method and authorize us, through Stripe, to charge it for your plan and for each renewal until you cancel.

**Free trial.** First-time subscribers get a 7-day free trial of the plan they choose, once per customer. Checkout asks for a card, and nothing is charged when the trial starts. We email you about a day before the trial ends. **Unless you cancel before the trial ends, your subscription starts and your card is charged the plan’s price shown at checkout, monthly or yearly as you chose (less any discount shown there), and it then renews automatically.** Switching plans during the trial keeps the trial. If you’ve had a PostMesh subscription before, checkout starts the paid plan straight away, with no trial.

**Automatic renewal.** **Subscriptions renew automatically at the end of each billing period, monthly or yearly as you chose, and we charge the payment method on file the then-current price plus any applicable taxes until you cancel.** Yearly plans are billed in one payment for the year.

**How to cancel.** You can cancel at any time in Settings under Billing, which opens Stripe’s billing portal, or by emailing hello@postmesh.app from your account email. Cancelling stops future renewals. Your plan stays active until the end of the period you’ve already paid for (or, during a trial, until the trial ends, without a charge), and then ends.

After your plan ends, publishing pauses and scheduled posts don’t go out, but your drafts, history, and connections stay in your account, and Settings and Connections stay open, until you delete them or delete your account. You can reactivate at any time.

**Changing plans.** You can switch between Creator, Growth, and Pro, monthly or yearly, in the billing portal. Stripe prorates the change, crediting unused time on your old plan against the new one on your invoices. If you move to a plan with lower limits, you may need to disconnect accounts or remove drafts before you can add more.

**Price changes.** We may change prices. Changes never affect a period you’ve already paid for. We’ll tell you at least 30 days before a new price applies to your subscription, and you can cancel before it takes effect.

**Failed payments.** If a renewal payment fails, Stripe may retry it and we’ll email you. Publishing pauses until the payment goes through.

## 12. Discounts and offers

**Launch offer.** While the launch offer is shown on our site, it gives 20% off every plan, monthly or yearly, to the first 100 subscriptions that use it. You don’t need a code: checkout applies it automatically and shows the discounted price. A place is counted when a checkout with the offer is completed, including when the subscription starts with a free trial, and our site shows how many places are left. The offer ends when all 100 places are taken, or earlier if we end it; checkouts after that are full price.

**How long the launch discount lasts.** The 20% applies to every invoice of that subscription for as long as it stays active, including after you switch plans or between monthly and yearly in the billing portal. It ends when the subscription is cancelled and ends. If you subscribe again later, the new checkout gets the offer only if places are still left. It can’t be combined with promotion codes or other discounts, has no cash value, and can’t be transferred.

**Black Friday 2026.** Until 11:59 pm ET on December 1, 2026, a new subscription to any plan, monthly or yearly, gets 40% off. You don’t need a code: checkout applies it automatically and shows the discounted price. It applies to subscriptions started through checkout during the sale, including ones that start with a free trial, and not to a subscription you already have. While the sale runs it takes the place of the launch offer, which comes back afterwards with the places it had left.

**How long the Black Friday discount lasts.** The 40% applies to every invoice of that subscription dated within 12 months of the day it starts (a free trial counts toward those months). On a yearly plan that is the first year’s payment; on a monthly plan, the first 12 payments. After that the subscription renews at the plan’s full price. It can’t be combined with the launch offer, promotion codes or other discounts, has no cash value, and can’t be transferred.

**Diwali sale 2026 (India).** For checkouts from India, which we tell from your network location, the same discount runs as our Diwali sale until 11:59 pm IST on November 10, 2026: 40% off every invoice dated within the first 12 months of a new subscription, on the same terms as Black Friday above. After the Diwali sale ends, checkouts from India get the Black Friday sale until it ends.

**Promotion codes.** When neither the launch offer nor a sale is applied, checkout lets you enter a promotion code. A code works only as described when we give it out. Unless we say otherwise, it can’t be combined with other discounts, has no cash value, can’t be transferred, and may expire.

**Offer when you cancel.** When you start cancelling in the billing portal, you may be offered 50% off one month instead: 50% off your next invoice on a monthly plan, or half of one month at your plan’s yearly rate off your next invoice on a yearly plan (during a trial, that’s your first paid invoice). It’s offered at most once per subscription, and not on a subscription that already has a discount. Accepting it keeps your subscription active and renewing; you can still cancel later.

**Misuse.** We may cancel a trial or discount obtained through fraud, abuse, duplicate accounts, or error.

## 13. Refunds

**Our policy.** Cancel during the free trial and you won’t be charged. After a payment, subscriptions aren’t refundable and we don’t give partial refunds for unused time in a billing period, including on yearly plans, except as described here or where the law requires.

**If we get it wrong.** If you were charged in error, charged twice, or couldn’t use the Services because of a problem on our side, tell us and we’ll fix it or refund the affected charge. If we close your account without cause, we refund prepaid time you haven’t used ([Suspension and termination](https://postmesh.app/legal/terms#termination-effect)).

**How to ask.** Email hello@postmesh.app from your account email with the date and amount of the charge and what went wrong. Approved refunds go back to the original payment method through Stripe; banks usually show them within 5 to 10 business days.

**EU and UK consumers.** If you’re a consumer in the EU or UK, you normally have 14 days to withdraw from a purchase of digital services. By starting your subscription, you ask us to begin providing the Services right away. If you withdraw within 14 days of your first payment, we’ll refund it minus a proportionate amount for the time you had access. This doesn’t affect any other rights you have under consumer law.

**Questions about a charge.** If a charge looks wrong or you don’t recognize it, email hello@postmesh.app; that’s usually the fastest way to get it fixed. You can also contact your bank or card issuer at any time, and nothing in these Terms limits the rights your card issuer gives you.

## 14. Changes and availability

**Changes to the Services.** We keep improving PostMesh, so features may change, be limited, or be retired, often because a network changed its API or website. If a change materially reduces what you’ve paid for, we’ll give you reasonable notice and you can cancel.

**Availability.** We work hard to keep PostMesh running, but we don’t promise it will always be available, uninterrupted, or error-free. Maintenance, outages at networks or providers we rely on, and events outside our control can cause downtime or delayed posts.

**Beta features.** Features marked beta, preview, or experimental may be unreliable, may change without notice, and are provided “as is”.

## 15. PostMesh’s intellectual property

The Services, including our software, design, text we write, and the PostMesh name and logo, belong to us and our licensors and are protected by law. As long as you follow these Terms, we give you a personal, revocable, non-exclusive, non-transferable permission to use the Services, including for your business. Apart from that, you get no rights to them. Don’t use our name or logo in a way that suggests we endorse or partner with you.

## 16. Copyright complaints

**Reporting copyright infringement.** We respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA) and similar laws. Our designated agent is Copyright Agent, OG APPS, LLC, at hello@postmesh.app. Send notices there with the subject “Copyright notice”, including:

1. your physical or electronic signature;
2. identification of the copyrighted work you believe is infringed;
3. the material you believe is infringing, with enough detail for us to find it;
4. your name, address, phone number, and email address;
5. a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and
6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for them.

**What we do.** When we receive a valid notice, we remove or disable the material in PostMesh, which can include cancelling scheduled posts and removing Clip Factory jobs, and we tell the user who posted it. We can’t remove a post that’s already published on a social network, so report it to that network too. For trademark or other rights complaints, email the same address with the details.

**Counter-notices.** If we remove your Content after a notice and you believe it was a mistake or misidentification, you can send a counter-notice to the same address with your signature, identification of the removed material, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake, your name, address, and phone number, and your consent to the jurisdiction of the federal district court for your address (or, outside the U.S., any judicial district where we may be found). Unless the complainant tells us they’ve filed a lawsuit, we may restore the material within 10 to 14 business days.

**Repeat infringers.** We close the accounts of repeat infringers in appropriate circumstances. Knowingly sending a false notice or counter-notice can make you liable for damages.

## 17. Third-party services

The Services connect to social networks, run partly in your browser, and rely on third-party providers. We don’t control them and aren’t responsible for their content, policies, availability, or decisions, including a network rejecting, limiting, removing, or changing a post, or suspending your account there.

## 18. Privacy

Our [Privacy Policy](https://postmesh.app/legal/privacy) explains what personal data we collect, how we use and share it, and your rights. If you use the Services to handle personal data about other people, for example in posts or on accounts you manage for clients, you’re responsible for doing so lawfully.

## 19. Suspension and termination

**Leaving PostMesh.** You can stop using the Services at any time. Cancel your subscription in Billing, disconnect your accounts in Connections, export your data in Settings, and delete your account in Settings under Data & privacy, which also cancels your subscription at once. The [Data deletion](https://postmesh.app/legal/data-deletion) page explains each step.

Deleting your account doesn’t refund time left in the current period, except as described in [Refunds](https://postmesh.app/legal/terms#refunds).

**Suspension or termination by us.** We may suspend or close your account, or limit features, if you break these Terms, if your use creates risk or legal exposure for us, other users, or a network, if you don’t pay, or if the law requires it. Where reasonable and lawful, we’ll tell you in advance and give you a chance to fix the issue or export your data. If you think we made a mistake, contact us.

**What happens next.** When your account ends, your right to use the Services ends too. If we close your account without cause, we’ll refund prepaid time you haven’t used. If we close it because you broke these Terms, payments are not refunded.

Sections that by their nature should continue after termination, such as payment obligations, ownership, disclaimers, limits of liability, indemnity, and dispute resolution, continue to apply.

## 20. Disclaimers

THE SERVICES, INCLUDING ALL CONTENT, AI OUTPUT, ANALYTICS AND ESTIMATES, AND THIRD-PARTY DATA, ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DON’T WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY POST WILL BE PUBLISHED AT A PARTICULAR TIME OR AT ALL, OR THAT ANY NETWORK WILL ACCEPT OR KEEP YOUR CONTENT OR YOUR ACCOUNT.

Some places don’t allow these disclaimers, so some of them may not apply to you. Nothing here limits warranties that can’t be excluded by law, or your rights as a consumer.

## 21. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WON’T BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, AUDIENCE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

These limits apply even if a remedy fails of its essential purpose. They don’t limit liability that can’t be limited by law, such as liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, and they don’t limit your consumer rights where the law doesn’t allow it.

## 22. Indemnity

To the extent the law allows, you’ll defend, indemnify, and hold harmless us and our affiliates, officers, employees, and agents from any third-party claims, and the resulting losses, damages, fines, and costs (including reasonable legal fees), arising from your Content, your use of a connected account, requests made with your API keys, your breach of these Terms, or your violation of any law, network policy, or anyone else’s rights. We’ll tell you about the claim, may choose to control its defense, and you’ll cooperate with us. You can’t settle a claim that imposes obligations on us without our written consent.

## 23. Disputes, arbitration, and class action waiver

**PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO GO TO COURT, TO HAVE A JURY TRIAL, AND TO JOIN A CLASS ACTION.**

**Let’s talk first.** Before starting arbitration or a court case, you and we each agree to send the other a written notice describing the dispute and the relief requested, and to try in good faith to resolve it for 60 days. Send notices to hello@postmesh.app; we’ll send ours to your account email. Deadlines to bring a claim are paused during these 60 days.

**Binding individual arbitration.** If we can’t resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including whether this section is valid or applies) will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules if you use the Services as a consumer, or its Commercial Arbitration Rules otherwise. The Federal Arbitration Act governs this section.

Hearings will be held by video or phone where possible, or in person in the county where you live (if you’re a consumer) or in Wilmington, Delaware (otherwise). Fees are paid as the AAA rules provide; for consumers, we’ll pay any filing, administration, and arbitrator fees beyond what you’d pay to file in court. The arbitrator may award the same individual relief a court could, but only in favor of the individual party seeking relief and only as needed for that party’s individual claim.

**Exceptions.** Either of us may instead bring an individual claim in small claims court if it qualifies, and either of us may go to court to stop infringement or misuse of intellectual property or unauthorized access to the Services, or to get emergency relief.

**No class actions or jury trials.** **You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. You and we each waive the right to a jury trial.** If this class waiver is found unenforceable for a particular claim, that claim (and only that claim) will be decided by a court, not an arbitrator, after any individual arbitration is finished.

**Mass filings.** If 25 or more similar arbitration demands are filed by or with the help of the same lawyers or organizations, they’ll be administered in batches of up to 50, with the AAA’s mass arbitration procedures applying where available. Deadlines to bring claims are paused for demands waiting in later batches.

**Opting out.** You can opt out of this arbitration agreement by emailing hello@postmesh.app within 30 days of first accepting these Terms, with the subject “Arbitration opt-out” and your name and account email. If you opt out, the rest of these Terms still apply, and disputes will go to the courts listed below. If we make a material change to this section, you can reject it within 30 days of the change.

**Governing law and courts.** These Terms are governed by the laws of the State of Delaware, U.S., without regard to its conflict-of-law rules, and by applicable U.S. federal law. Any dispute not subject to arbitration will be heard only in the state or federal courts located in New Castle County, Delaware, and you and we consent to their jurisdiction. To the extent the law allows, any claim must be brought within one year after it arises.

**Consumers outside the U.S.** If you’re a consumer in the EU, the UK, Switzerland, or another country whose law doesn’t allow these terms, the arbitration, class waiver, and one-year limit don’t apply to you; you keep the protection of the mandatory laws of the country where you live, and you can bring claims in your local courts.

## 24. Changes to these Terms

We may update these Terms as the Services or the law change. The date at the top of this page shows when the current version took effect. For material changes, we’ll give at least 14 days’ notice by email or in the Services before they take effect, unless a change is needed sooner for legal or security reasons. Changes won’t apply to a billing period you’ve already paid for, or to disputes that arose before the change. If you keep using the Services after a change takes effect, you accept it. If you don’t agree, stop using the Services and cancel your subscription.

## 25. General terms

- **Entire agreement.** These Terms, the policies they refer to, and your order details are the entire agreement between you and us about the Services, and replace any earlier agreements on the same subject.
- **Assignment.** You can’t transfer these Terms without our written consent. We may transfer them, for example as part of a merger, acquisition, or sale of assets.
- **Severability and waiver.** If part of these Terms is unenforceable, the rest stays in effect and that part is enforced as fully as possible. If we don’t enforce something right away, we haven’t waived our right to do so later.
- **Events outside our control.** We’re not responsible for delays or failures caused by events beyond our reasonable control, such as outages, API or website changes at social networks, hosting, payment, or AI providers, internet failures, natural disasters, war, or government action.
- **Export, sanctions, and local law.** You’ll comply with all applicable export control and sanctions laws, and the local laws that apply to your use of the Services, as described in [Sanctions and export rules](https://postmesh.app/legal/terms#accounts-sanctions).
- **Relationship.** You and we are independent parties. These Terms don’t create a partnership, joint venture, agency, or employment relationship, and they don’t give anyone else rights under them.
- **Notices.** We’ll send notices to your account email or show them in the Services. You can send notices to hello@postmesh.app.
- **Language.** These Terms are written in English. If we provide a translation and it conflicts with the English version, the English version controls, unless the law requires otherwise.
